This is a l egal agr eement between you, the end- user, and Motor ola, Inc., ( "Motorola") . The
Wisdom™ Oper ating System (" Wisdom OS") , the Applications pr einstalled in your

Accompli
model 009, and the PC Partner, ( collectively " Software") , are licensed by
Motorola to you, and any subsequent tr ansfer ee of the Software for use only under the
terms set for th her e. Please read this Software License Agreement (" Agreement" ). By
installing, copying or using the Softwar e, you agree to be bound by all the terms of this
Agreement. If you do not agree with the ter ms of this Agr eement, promptly return the
Accompli 009 and the unused Softwar e to the place from which you obtained them for a full
refund.

Motorola grants you a limi ted, non- exclusive, revocabl e li cense to use the executable- code
version of the Wisdom OS and the Applications for your personal use on a single Motorola
Accompli 009; and Motorola grants you a li mited, non- exclusive, revocable license to use
the executable code ver sion of the PC Partner for your personal use on a single per sonal
computer. All r ights not expr essly gr anted to you are r eserved by Motor ola.

The Softwar e is owned by Motorola and is pr otected by United States copyr ight laws and
inter national treaty provisions. You acknowledge that no title to any intellectual proper ty in
the Softwar e is tr ansfer red to you.

Except as other wise explicitly per mitted i n this Agr eement, you may not: a.) modify,
translate or adapt the Software or create der ivati ve works of the Software or any part
ther eof; b.) decompile, disassemble, rever se engineer, or other wise attempt to derive the
source code of the Softwar e; c.) copy (except to install the Wisdom OS and the
Applications into a single Motorola Accompli 009; and except to make one ar chival back- up
copy of the PC Par tner ), re-distr ibute, encumber, sell, r ent, loan, lease, sub-license,
assign or other wise transfer your r ights to the Softwar e; or d.) remove or alter any
trademar k, logo, copyr ight, or other propri etar y notices in the Software. You may tr ansfer
all your r ights to the Software under this Agreement to another per son by transferr ing, on a
per manent basi s, to such other person the Motor ola Accompli 009 on which the Wisdom OS
and Applications ar e installed, or by transfer ring, on a permanent basis, to such other
per son the personal computer on whi ch the PC Par tner is install ed; pr ovi ded that you
retain no copy of the Software and that the tr ansferee agr ees to all the terms of this
Agreement.
